The Reject Shop, an Australian discount retail chain, has entered into a definitive agreement for a takeover valued at $259 million by the Canadian value retailer Dollarama.

The acquisition, announced on Thursday, involves Dollarama offering $6.68 in cash per share to The Reject Shop's shareholders, significantly above the stock’s closing price of $3.15 on the prior trading day.

Following the announcement, The Reject Shop’s shares surged by 110% to close at $6.60.

Dollarama, headquartered in Montreal and publicly traded on the Toronto Stock Exchange, has indicated plans to substantially expand The Reject Shop’s presence in Australia, aiming to increase the number of locations from approximately 390 to nearly 700 stores by 2034. This expansion reflects Dollarama's strategy to leverage its operational capabilities to enhance retail access for Australian consumers.

Clinton Cahn, CEO of The Reject Shop, characterized the acquisition as a significant endorsement of the Australian retail landscape.

Cahn emphasized the potential for growth under Dollarama’s ownership, stating, "For Australian customers, there’s going to be more Reject Shops across the country.

They’ll be more accessible." He noted that while Dollarama is expected to collaborate with existing local management, it remains uncertain whether The Reject Shop brand will be retained post-acquisition.

Retail consultancy founder Brian Walker remarked that the acquisition represents a favorable outcome for The Reject Shop, highlighting the necessity for the business to align with a partner possessing global reach and sourcing capabilities, given the rising competition from international online retailers.

Walker pointed out the increasing challenges faced by brick-and-mortar retailers, especially in light of the retail successes of companies like Wesfarmers’ Kmart, stating that these instances are the exception rather than the rule in the evolving market.

Cahn acknowledged the growth of online retail, noting that The Reject Shop's strength has traditionally been its physical store presence, particularly in regional areas where it serves as a key retail provider.

He mentioned that the company's locations often benefit from high foot traffic adjacent to supermarkets and within large shopping centers.

Pending shareholder approval, the takeover is projected to finalize in the second half of the current year.

The Reject Shop's largest shareholder, Kin Group, holding about 20.8% of the company, has indicated its intent to support the deal if an independent expert verifies that the acquisition serves the best interests of shareholders.

Dollarama, which operates over 1,600 stores across Canada and has a presence in Central America, views this acquisition as a strategic move to diversify its geographical footprint.

CEO Neil Rossy expressed optimism regarding the partnership, stating, "We look forward to embarking on this new chapter of Dollarama’s international growth journey with the local management team and its more than 5,000 employees across Australia."
