Hims & Hers Health Announces Strategic $1.15 Billion Acquisition of Eucalyptus to Accelerate Global Expansion

Hims & Hers Health, a leading U.S. telehealth and consumer health platform, has entered into a definitive agreement to acquire Australia-based digital health company Eucalyptus in a transaction valued at up to one billion one hundred and fifty million dollars.

The move is designed to expand Hims & Hers’ global presence by establishing operations in Australia and Japan while strengthening its foothold in key markets including the United Kingdom, Germany, and Canada.

This acquisition marks one of the most significant strategic steps in Hims & Hers’ efforts to become a premier global provider of personalized virtual care and consumer health services.

Under the terms of the agreement, approximately two hundred and forty million dollars will be paid in cash at closing, with the balance comprised of deferred payments over the eighteen months following the close and performance-based earnout payments tied to financial targets through early two thousand twenty-nine.

Hims & Hers has indicated that it plans to finance the majority of the transaction using its existing cash resources combined with operating cash flows from its U.S. business, and retains the option to satisfy most deferred and earnout obligations in either cash or company stock.

The deal is expected to close in mid-two thousand twenty-six, pending regulatory clearance and customary closing conditions.

Founded in two thousand nineteen, Eucalyptus operates a portfolio of digital health brands with a reported annual revenue run-rate exceeding four hundred and fifty million dollars, and has served more than seven hundred seventy-five thousand customers through offerings such as Juniper, a women’s weight management program, and Pilot, a men’s health service.

The company’s established presence across multiple international markets presents an attractive platform for Hims & Hers to broaden its global reach and diversify its service capabilities.

Following the completion of the acquisition, Eucalyptus chief executive Tim Doyle will assume the role of senior vice president of international at Hims & Hers, overseeing the integration and expansion of the combined international operations.

Hims & Hers chief executive Andrew Dudum characterized the transaction as a pivotal milestone in the company’s evolution, noting that the acquisition will enable the combined organization to serve customers more broadly with localized expertise while advancing its vision of transforming healthcare into a customer-centric, personalized experience.

The deal follows a period of accelerated international expansion by Hims & Hers, which has completed previous acquisitions in Europe and Canada to extend its digital health offerings.
